Looks like the .dae is corrupted. ColladaConv can't open it, but neither can Meshlab, or anything else.
I tried opening the .blend file in Blender 2.52 and exporting it, and ...

Everything works perfectly.
Don't know where the problem was, Blender's collada exporter has no options or anything that can be set wrong.

EDIT: I remember collada exporter not working correctly in 2.49, maybe that's it.

Really, I'm was using this version of blender, but i think problem is with version of ColladaConv i'm using... I down the blender 2.52 and trying exporter, but again the Collada conv don't create the .Shaders ... I see the source code and this don't make any reference for the paramter -s ... diferent of other version of the colladaconv was found in the forum, but i can't compile this... Basically what I'm doing is I open ColladaConv.bat and typed it Filename.dae -o Filename (if you enter the parameter -s says that the arguments are invalid)... If i have anything wrong, can you tell me step by step what i do?

Are you using the CollandaConv that comes with Horde3D_SDK_Beta4?

Nope, i'm using SVN245.
I simply expored model as models/woman/woman.dae , typed "colladaconv models/woman", and loaded woman.scene.xml into horde3d.

ColladaConv should make .geo (model's geometry), scene.xml (links to materials and geometry) and material.xml (materials).
It doesn't create any shaders, newly created materials use model.shader by default.

ColladaConv never creates shaders. It only references the one shipped with the samples or any shader specified when converting the dae file.
